Terms of Service for North Harbor Recording Studio

1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the services, facilities, website, communications, and related offerings provided by North Harbor Recording Studio ("North Harbor Recording Studio", "we", "us", or "our").
By booking a session, entering our premises, using our equipment, engaging our services, or otherwise interacting with North Harbor Recording Studio, you agree to be bound by these Terms. If you do not agree, you must not use our services.
These Terms apply to all clients, artists, producers, engineers, guests, contractors, and any other persons who access or use our services.
2. Scope of Services
North Harbor Recording Studio provides professional audio and production services, which may include, without limitation:
- Multitrack audio recording
- Vocal tracking and comping
- Mixing and mastering
- Podcast recording and editing
- Music production and arrangement
- Voice-over recording
- Remote session collaboration
Services may be delivered in-studio, remotely, or through a combination of both, depending on the project and availability. We reserve the right to determine the technical methods, workflow, equipment, personnel, and scheduling arrangements used to provide services.
Any additional services not expressly included in a written quote, invoice, or agreement are outside the scope of the original engagement and may require additional fees.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, current, and complete information when booking or communicating with us;
- Arrive on time for scheduled sessions and comply with studio rules, safety instructions, and staff directions;
- Ensure that any materials, performances, recordings, lyrics, samples, or other content you provide do not infringe the rights of any third party;
- Obtain all necessary permissions, licenses, releases, and consents required for your project;
- Use studio equipment and facilities responsibly and only for their intended purpose;
- Be liable for any damage caused by you, your guests, or your representatives to our premises, equipment, or property, except to the extent caused by our negligence or wilful misconduct;
- Comply with all applicable federal, provincial, and municipal laws, regulations, and bylaws in Canada and Ontario.
You are responsible for backing up your own files, project data, and final deliverables. While we may maintain internal backups at our discretion, we do not guarantee indefinite retention of session files unless otherwise agreed in writing.
We may refuse service, remove any person from the premises, or suspend a session if we reasonably believe there is unsafe, unlawful, disruptive, abusive, or intoxicated conduct, or if studio rules are violated.
4. Payment Terms and Conditions
Fees for services will be communicated in advance through a quote, booking confirmation, invoice, or written agreement. Unless otherwise stated, all prices are in Canadian dollars (CAD).
- Deposits or advance payments may be required to confirm a booking.
- Full payment is due by the date stated on the invoice or at the end of the session, as applicable.
- We may charge additional fees for overtime, rush delivery, extra revisions, file transfers, session setup, or other services not included in the original scope.
- Late payments may be subject to interest or administrative charges to the extent permitted by applicable law and disclosed on the invoice or agreement.
- We may suspend work, withhold deliverables, or cancel future bookings if payment is overdue.
Taxes, including applicable GST/HST or other sales taxes, will be added where required by law.
Payment methods accepted by North Harbor Recording Studio may vary and will be communicated at the time of booking or invoicing.
5. Cancellation and Refund Policy
Cancellations and rescheduling requests must be made in accordance with the notice period communicated at booking or, if none is specified, within a reasonable time before the scheduled session.
- Deposits may be non-refundable, except where required by applicable law or where we cancel the booking without cause.
- If you cancel late or fail to attend a scheduled session, you may be charged the full session fee or a cancellation fee.
- Rescheduling is subject to availability and may incur administrative charges.
- Refunds, if any, are issued at our discretion only where services were not provided as agreed, subject to applicable law.
For completed creative services, including recording, editing, mixing, and mastering, fees are generally non-refundable once work has commenced, because such services involve time, expertise, and non-recoverable production resources.
If we must cancel a session due to equipment failure, staff unavailability, safety concerns, or other reasons within our control, we will make reasonable efforts to reschedule or provide a refund for the affected portion of prepaid fees.
6. Liability Limitations
To the fullest extent permitted by applicable law, North Harbor Recording Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, loss of goodwill, or loss of opportunity, arising out of or related to your use of our services.
Our total aggregate liability for any claim arising from or relating to the services shall not exceed the amount actually paid by you to North Harbor Recording Studio for the specific service giving rise to the claim, except where such limitation is prohibited by law.
We do not guarantee specific artistic, commercial, or distribution outcomes, including chart performance, streaming success, broadcast placement, or audience response.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted under applicable Canadian law, including liability for gross negligence, wilful misconduct, or other non-excludable obligations.
7. Intellectual Property Rights
Unless otherwise agreed in writing, you retain ownership of the underlying content you provide to us, including your performances, lyrics, compositions, and pre-existing materials.
Subject to full payment of all applicable fees, you will generally own the final deliverables created specifically for you, except for any third-party materials, pre-existing studio templates, software, plugins, presets, or licensed content used in the production process, which remain subject to their respective rights holders and licenses.
You grant North Harbor Recording Studio a non-exclusive, worldwide, royalty-free license to use, reproduce, store, process, and modify your materials solely to the extent necessary to provide the services, maintain records, and comply with legal obligations.
You represent and warrant that:
- You have all necessary rights to provide the materials and authorize us to use them for the project;
- Your materials do not infringe copyright, trademark, privacy, publicity, moral rights, or any other rights of any third party;
- You have obtained all required consents from performers, collaborators, and other participants.
We may, with your consent or where otherwise permitted by law, use non-confidential excerpts of completed work for portfolio, promotional, or demonstration purposes.
8. Data Protection and Privacy
North Harbor Recording Studio collects, uses, discloses, and retains personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.
We may collect personal information such as your name, contact details, billing information, booking history, project files, communications, and technical information necessary to provide services and manage our business.
We use personal information for purposes including:
- Scheduling and delivering services;
- Processing payments and issuing invoices;
- Communicating with you about your project;
- Maintaining records and complying with legal obligations;
- Improving our services, systems, and client experience.
We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
Where we use third-party service providers, including cloud storage, payment processors, or communication tools, your information may be processed by those providers subject to their own terms and privacy practices, as permitted by law.
9. Force Majeure
North Harbor Recording Studio shall not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, power outages, equipment failure not caused by our negligence, labour disputes, government actions, public health emergencies, internet outages, cyber incidents, transportation disruptions, or other force majeure events.
In such circumstances, we may suspend, reschedule, or modify services as reasonably necessary. If a force majeure event materially affects a booking, we will make reasonable efforts to communicate promptly and propose an alternative arrangement where feasible.
10. Changes to Terms
We may update or revise these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The updated Terms will be effective upon posting or upon notice to you, as applicable.
Your continued use of North Harbor Recording Studio services after any changes become effective constitutes your acceptance of the revised Terms.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or your use of North Harbor Recording Studio shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Subject to any mandatory consumer protection laws or other non-waivable legal rights, the courts located in Ontario, Canada shall have exclusive jurisdiction over any dispute arising from or related to these Terms or the services.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Any unenforceable provision shall be interpreted, to the extent possible, to reflect the original intent of the parties and to preserve the validity and enforceability of the remaining Terms.
